Terms of Service for Innovations Project LLC

Welcome to Innovations Project LLC (“Company,” “we,” “our,”
or “us”). These Terms of Service (“Terms”) govern your use of our virtual
assistant services (“Services”) and outline the rights and obligations of both
the Company and the users (“you,” “client,” “user”). Please read these Terms
carefully before engaging with our Services.

By using our Services, you agree to be bound by these Terms.
If you do not agree, you must not use our Services.

1. Scope of Services

Innovations Project LLC provides virtual assistant services,
including but not limited to administrative support, data entry, scheduling,
donor relations, communication management, and other operational tasks
customized to your needs.

2. Client Responsibilities

To ensure the quality and efficiency of our Services, you
agree to:

•Provide accurate and complete information needed for service delivery

•Respond to requests for clarification or additional details in a timely manner

•Refrain from requesting illegal, unethical, or inappropriate tasks

•Provide necessary access to relevant accounts, tools, and documents, as agreed upon

3. Service Terms and Availability

•Services will be provided during agreed-upon business hours, except for holidays and
weekends (unless otherwise arranged).

•We reserve the right to modify the scope or availability of Services upon mutual
agreement.

4. Payments and Fees

•Payment for Services must be made according to the agreed pricing structure (hourly,
retainer, or project-based).

•Invoices will be provided on a [weekly/bi-weekly/monthly] basis, and payment must be
received within 7days of the invoice date.

•Late payments may result in service suspension or the addition of late fees at our
discretion.

•All fees are non-refundable unless otherwise specified in a written agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of any
sensitive information exchanged during the course of the engagement, including
but not limited to business data, passwords, client lists, and proprietary
information.

Exceptions to confidentiality include:

•Information that becomes publicly available through no breach of these Terms

•Information that is required to be disclosed by law

6. Intellectual Property

Any work product created during the provision of Services
(e.g., reports, spreadsheets, presentations) will be the property of the client
once payment is made in full, unless otherwise agreed in writing.

Innovations Project LLC retains the right to use anonymized
templates or tools developed during the course of providing services for future
projects.

7. Termination

a. Termination by Client

You may terminate the agreement at any time by providing
written notice 7 days. Fees for services rendered up to the termination date
will still be due.

b. Termination by Company

We reserve the right to terminate the agreement if:

•The client violates these Terms

•Payment is not made within the required time frame

•The nature of the requested work is deemed unethical or outside the scope of our
services

8. Limitations of Liability

Innovations Project LLC is not liable for:

•Losses or damages caused by third-party vendors, tools, or software used during
service delivery

•Delays or disruptions caused by unforeseen circumstances, including technical issues
or force majeure events

•Consequential,incidental, or indirect damages arising from the use or inability to use our
Services Our liability is limited to the amount paid by the client
for Services in the last 30 days.

9. Indemnification

You agree to indemnify and hold harmless Innovations Project
LLC, its employees, and contractors from any claims, damages, or legal expenses
arising from your misuse of the Services, violations of these Terms, or actions
taken based on your instructions.

10. Data Security and Privacy

We take reasonable steps to safeguard your data. However,
you acknowledge that no system is entirely secure, and you agree to hold us
harmless for data breaches resulting from circumstances beyond our control.

11. Prohibited Activities

You may not use our Services to:

•Engage in any illegal activities

•Distribute harmful software or engage in fraudulent behavior

•Impersonate others or misrepresent your relationship with Innovations Project LLC

12. Changes to Terms

We reserve the right to update or modify these Terms at any
time. Notice of significant changes will be provided through our website or
email. Your continued use of the Services after such changes constitutes
acceptance of the updated Terms.

13. Dispute Resolution and Governing Law

These Terms will be governed by the laws of [insert
